Welcome to Railroad! These Terms of Service ("Terms") govern your use of the Railroad Messenger, LLC platform, including the website at therailroad.app and the Railroad mobile application (collectively, the "Services"), operated by Railroad ("we," "us," or "our").

By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Who Can Use Railroad

You must be at least 13 years old to use Railroad. By using our Services, you represent that you meet this age requirement. If you are under the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agrees to these Terms on your behalf.

2. Your Account

To use Railroad, you must create an account with a valid email address. You are responsible for maintaining the security of your account and for all activities that occur under it.

  • You must provide accurate and complete information when creating your account.
  • You are responsible for keeping your password secure.
  • You must notify us immediately if you believe your account has been compromised.
  • You may not transfer, sell, or share your account with others.

We reserve the right to suspend or terminate accounts that violate these Terms.

3. What Railroad Is

Railroad is a community platform where users communicate through "stations" — community spaces that contain channels for organized conversations. Users can also send direct messages to other members within shared stations.

Stations are created and managed by users. Station owners and admins control the settings, membership, and moderation of their stations. Railroad provides the platform infrastructure, but individual station communities are managed by their respective owners and admins.

4. Your Content

"Your Content" means any text, images, files, or other materials you upload, post, or share through the Services.

  • You retain ownership of your content.
  • By posting content on Railroad, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, and distribute your content solely for the purpose of operating and providing the Services.
  • You are responsible for the content you post and must ensure it does not violate these Terms, applicable laws, or the rights of others.
  • We reserve the right to remove any content that violates these Terms or that we determine is harmful, at our sole discretion.

5. Prohibited Conduct

When using Railroad, you agree not to:

  • Harass, bully, threaten, or intimidate other users
  • Post content that is illegal, hateful, violent, sexually explicit, or promotes self-harm
  • Impersonate any person or entity
  • Spam, send unsolicited messages, or engage in any form of automated messaging
  • Attempt to gain unauthorized access to other users' accounts or our systems
  • Use the Services for any illegal purpose
  • Distribute malware, viruses, or other harmful software
  • Interfere with or disrupt the operation of the Services
  • Scrape, data-mine, or use automated tools to access the Services without our written consent
  • Circumvent any moderation or security measures

Violation of these rules may result in content removal, temporary suspension, permanent ban, or account deletion at our discretion.

6. Moderation and Enforcement

Railroad provides tools for station owners and admins to moderate their communities, including the ability to remove members, ban users, and review reported messages.

We also reserve the right to take platform-level action, including removing content, suspending accounts, or terminating access to the Services if we determine, at our sole discretion, that a user has violated these Terms or poses a risk to the safety of others.

We are not obligated to monitor all content but may do so at our discretion.

7. Intellectual Property

The Railroad name, logo, design, and all associated branding are the property of Railroad. You may not use our trademarks or branding without prior written permission.

The Services, including all software, features, and infrastructure, are owned by Railroad and are protected by applicable intellectual property laws. These Terms do not grant you any right to use our intellectual property except as necessary to use the Services as intended.

8. Privacy

Your use of Railroad is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using our Services, you agree to the practices described in the Privacy Policy.

9. Termination

You may stop using Railroad at any time. You can delete your account through the Settings page on the web or mobile app.

We may suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

  • Violation of these Terms
  • Harmful or abusive behavior
  • Extended inactivity
  • Legal or regulatory requirements

Upon termination, your right to use the Services will cease immediately. Certain provisions of these Terms will survive termination, including Sections 4, 7, 10, 11, and 12.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, secure, or error-free. We do not endorse or verify the accuracy of any content posted by users.

11. Limitation of Liability

To the maximum extent permitted by law, Railroad and its operators, officers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, profits, or goodwill, arising from your use of the Services.

Our total liability for any claim arising from the Services shall not exceed the greater of $100 USD or the amount you paid to Railroad in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Railroad and its operators, officers, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your content, or your violation of these Terms.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to conflict of law principles.
